Dear Ms. Doe:
GovC is pleased to submit our Cost Proposal to ABC Corp to perform as a subcontractor to ABC Corporation on the Defense Departments (DOD) Solicitation No. DOD AF01-15-A-GROI Program. Our Technical and Cost Proposals shall remain valid for one hundred and twenty (120) days from the Prime Proposals due date of June 15, 2016.
We have separately submitted to ABC Corp our Technical Proposal in response to your letter to us dated October 25, 2015. We have accepted the instructions and terms set forth in this letter and have added information on how we would meet these instructions and terms in our Technical Proposal. This Cost Proposal includes our cost assumptions supporting the Technical Proposal to you.
The cost proposal has been provided at cost element detail and specific cost or pricing data has been omitted. We restrict the release of cost or pricing (proprietary) data to prime contracts, and any audit of cost or pricing data would need to go through government channels. However, we recognize that going through government channels in all cases may not be possible or delay the award of the proposal. In limited circumstances we allow for upper level contracts to review or cost and pricing data so that they can obtain assurance or price is fair and reasonable. In such circumstances, the following is required in order to proceed in providing cost and pricing data to your organization.
- A signed GovC Contractor Flowdown Certification has been received from your organization
- The BU has received a signed GovC Non-Disclosure Agreement.
- Agreement in audit protocol.
- Any review must follow DCAA protocol of an entrance and exit conference.
- Details of the scope and materiality of areas audited must be disclosed by the auditor at the entrance conference.
- Details about any questioned or unsupported audit areas must be disclosed by the auditor during the audit and during the audit exit conference.
- The auditor must provide a time schedule and estimated level of effort to complete the review.
- The audit cannot exceed 5 days or some other reasonable time.
