Policy It is GovC’s policy that all contracts, proposals, teaming agreements, and other legally binding documents or business arrangements be reviewed, at appropriate levels of management, prior to submission or execution by an authorized GovC representative, to ensure compliance with all applicable laws, regulations, Policies and Procedures.

This policy applies to all contractual documents that commit the Company and are either issued or received by GovC subsidiaries and/or affiliates.  These documents include, but are not limited to, teaming agreements, memoranda of agreement or understanding, letters of intent, responses to invitations for bid/request for proposals, contracts, purchase orders, subcontracts, and all other similar documents that commit and/or bind the Company.

1. When required by the referenced Authority Matrix, submit requests for approval of proposals to Corporate Pricing, along with CO 201 Form A, Cost/Price Proposal Approval Sheet and any supporting documentation, for final coordination and approval by other Corporate staff as applicable. (Refer to the flow diagram which illustrates the proper approval process.)

All other contractual documents shall be reviewed and executed within the applicable Business Unit in accordance with the referenced Authority Matrix.  Requests for assistance with review of contractual documents (terms & conditions, special provisions, etc.) should be sent to the Senior Executive of Corporate Contracts.

3. Requests for a Letter of Credit (LOC) and/or a Bid/Performance Bond shall be reviewed and executed in accordance with CG 201, Authority Matrix. The request form must be completed in it’s entirety in order to facilitate an expedited issuance of the LOC/Bond. The attached flow diagram is provided as a guide to illustrate the process and required timeline for issuance of the LOC/Bond. Typically, revisions to the LOC/Bond application are required; therefore, it is imperative that sufficient lead time be allotted.

All international bids require Corporate Legal Counsel review to ensure compliance with all International LawsThe Legal representative will provide a written legal opinion addressing any significant issues associated with the effort including any recommended proposed resolutions to mitigate those issues.

6. International bids exceeding $500K also require coordination with the Corporate Tax Department to access any tax implications associated with the specific country where the work will be performed.

7. The GovC approval requirements pertaining to proposal thresholds are reflected in the Authority Matrix for Corporate Commitments (CG 201).  Proposal actions (including profit/fee and proposal approvals) and other transactions that require the approval of the GovC President or other Corporate Officers must be coordinated well in advance, if possible, to allow sufficient time to schedule such reviews.  If advance coordination is not possible, then the BU President should seek verbal approval from the applicable party/parties in accordance with the referenced Authority Matrix and provide all required documents as soon as possible thereafter for formal signature. 
 
  
8. In addition, pricing strategy reviews will be held for all proposals subject to review and approval by Corporate (in accordance with the Authority Matrix).  Pricing reviews should be scheduled as soon as possible based on proposal receipt and due date and held with adequate time prior to submittal to allow for questions, responses and if necessary, modifications.  Additional guidance concerning such pricing strategy reviews is provided in the GovC Cost Estimating System Manual (CESM).
