"Affiliates” means associated business concerns or individuals if, directly or indirectly—

(1) Either one controls or can control the other; or

(2) A third party controls or can control both[1]

“Affiliate” means an entity that directly or indirectly, through one or more intermediaries, controls, is controlled by, or is under common control with, that Party. For the purpose of the foregoing, “control” (including the terms “controlling,” “controlled by,” and “under common control with”) means the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of an entity[2].
